Terms and Conditions

Binding effects

These terms and conditions govern your acquisition and use of www.moments-of-ecstasy.ae and describe the terms and conditions pursuant to which you may access and use any of the Company’s services. Your use of services constitutes your binding acceptance of these terms, including any modifications. If you are entering into this Terms and Conditions on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions, in which case the terms "you" or "your" shall refer to such entity and its affiliates. If you do not have such authority, or if you do not agree with these terms and conditions, you must not accept these Terms and Conditions and may not use the services.

Amendments

Cactus Commodities Trading DMCC reserves the right to alter, revise, improve or confiscate sections of the terms and conditions at its discretion with or without providing notice to users of our products. Your use of any products following any such modification shall be conclusively deemed to be your acceptance of such modification. However, upon every modification or revision, reasonable notice of modifications will be provided through appropriate communications channels. Since these change notices last only for a limited time, you should regularly check the terms and conditions to see if there have been any changes.

Data protection

Cactus Commodities Trading DMCC shall maintain proper executive, substantial, and technical safeguards for protection of the security, confidentiality, and integrity of Your Data; however, you are entirely responsible for maintaining the privacy of the passwords provided to you pursuant to this Terms and Conditions and Cactus Commodities Trading DMCC shall not stand responsible for any loss that appears as a result of the misuse of the password. Cactus Commodities Trading DMCC warrants and declares that it will implement and maintain adequate technological and organizational means to protect Personal Data from accidental or illegal destruction, loss, modification, unauthorized disclosure, or access, in accordance with best practices. You undertake to immediately notify Cactus Commodities Trading DMCC of any real or suspected incidence of accidental or illegal destruction or loss, alteration, unauthorized or accidental disclosure or access to Personal Data, or any breach of this article. The benefit of encryption, protection features, compression, or any other technology that advances the security or efficiency of the Cactus Commodities Trading DMCC shall not be considered a modification.

Use of Product

The Products and content are protected by copyrights, patent rights, trade secrets, unfair completion laws and other intellectual property laws. You are only granted with certain limited rights to acquire and use the Product and services for limited use only, and Cactus Commodities Trading DMCC reserves all other rights in the Product not granted to you in writing herein. As long as you meet any applicable payment obligations and comply with this Agreement, Cactus Commodities Trading DMCC grants you a right to acquire the Product in accordance with Cactus Commodities Trading DMCC business policies, as updated from time to time, and only for the purposes described herein.

Intellectual Rights

The Services provided pursuant to these Terms and Conditions contain a combination of Content that Cactus Commodities Trading DMCC creates and designs for the Endorsers. All materials circulated through the Services, including but not limited to text, images, video, graphics, illustrations, and multimedia files, are protected by all applicable intellectual property laws, including without limitation copyright and trademark laws, and owned by Cactus Commodities Trading DMCC. All rights in the Product are expressly reserved by the applicable copyright and trademark owner. You may not sublicense, transfer or otherwise make Product available to any third party for commercial purposes or financial gain or use the Product in any other location other than as permitted under these Terms and conditions.

RESTRICTIONS

The Products and services offered pursuant to these terms and conditions are granted with limited right to use solitary for the purposes specified herein. You may not use, nor permit any third party to use, the Product in a manner that violates any applicable law, regulation, or this Agreement. Furthermore, you may not:

  • Grant access to or give the Product or any part of the Product to any third party for commercial purposes.
  • Reproduce, duplicate, modify, copy, sell, trade, or resell the Product.
  • Attempt unauthorized access to any other Cactus Commodities Trading DMCC systems that are not part of the services offered pursuant to these terms and conditions.
  • Permit any third party to benefit from the use or functionality of the Product and content or other VIOLATIONS.
  • Make the Product available on any internet site or online trading platform.

Users of this site must be able to establish legally enforceable contracts under the relevant law, be at least 18 years old, and not be prohibited from accessing the site under such laws.

The Product provided under these terms and conditions may not be reproduced or utilized for unauthorized purposes, nor forwarded, nor disclosed to third parties without Cactus Commodities Trading DMCC prior to written consent.

Payment of Fees and Expenses

The charges of the services, especially for the desired products, shall be as set out in MOMENTS-OF-ECSTASY’s offer to acquire the Product under the terms and conditions outlined herein. You are under obligation to make available valid credit card information at the time of purchase to allow payment for any service or product. Charges paid shall not be refundable under any circumstances absent manifest error.

Confidentiality

The term "Confidential Information" includes, but is not limited to, all proprietary information owned by the MOMENTS-OF-ECSTASY’s and not generally known to the public or in the relevant skill or information that is communicated orally, written, printed, electronically or any other form or medium, or which was learned, discovered, developed, conceived, originated or prepared by you in the scope and course of your Relationship, relating directly or indirectly to Cactus Commodities Trading DMCC and any and all other concepts, as such Confidential Information pertains personally to principals or other information that has independent economic value. You will practice reasonable efforts to maintain the confidentiality of the information and materials, whether oral, written, or in any form whatsoever, of the others that may be reasonably understood, from legends, the nature of such information itself and/or the circumstances of such information's disclosure, to be confidential and proprietary thereto. All Confidential Information delivered pursuant to these terms and conditions shall be and remain the property of the MOMENTS-OF-ECSTASY’s, and any material containing or reflecting the Confidential Information, and all copies thereof, shall be promptly returned to the Cactus Commodities Trading DMCC upon written request, or destroyed at Cactus Commodities Trading DMCC option. Nothing herein shall be construed as granting or conferring any rights by license or otherwise, express or implied, regarding any idea made, conceived, or acquired prior to or after the Effective Date, nor as granting any right with respect to the use or marketing of Product or any service. You will use the Confidential Information only for the Relationship specified herein.

Prohibited uses

As a condition of your use of the Products offered by the Cactus Commodities Trading DMCC, you warrant that you will not use the acquired products or services for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use acquired services or programs in any manner which could damage, disable, overburden, or ruin the Cactus Commodities Trading DMCC or interfere with any other party's use and enjoyment of the Cactus Commodities Trading DMCC products and services. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Cactus Commodities Trading DMCC Web Sites.

Infringement

The services and the Products offered by Cactus Commodities Trading DMCC are free and clear of any rightful claim of any third person by way of trade or patent infringement. If at any time during the Term of this Agreement, a claim shall arise for infringement or unfair competition as to any of the rights that are the subject of this Agreement, Cactus Commodities Trading DMCC may proceed with the termination of the service and products to prosecute an action based on such claims. If you believe that your intellectual trade or patent property rights have been violated, you are requested to proceed in the following manner.

  • A description of the trade or patent right, copyright or other intellectual property that you claim has been infringed.
  • A description of where the material that you claim is infringing is located on the website.
  • An address, a telephone number, and an e-mail address where Cactus Commodities Trading DMCC can contact you.
  • A statement that you have a good-faith belief that the use is not authorized by the trade or patent or other intellectual property rights and by law.
  • A statement by you under penalty of perjury that the information in your notice is accurate and that you are the copyright or intellectual property owner or are authorized to act on the owner's behalf.

Cactus Commodities Trading DMCC may request additional information before removing any infringing or allegedly infringing material and may provide the alleged infringing party with your e-mail address so that that person can respond to your allegations.

TERMINATION

Cactus Commodities Trading DMCC reserve the right, in its sole discretion, to terminate your access to the Web Site and the related services or any portion thereof at any time, without notice. You agree that no joint venture, partnership, employment, or agency relationship exists between you and Cactus Commodities Trading DMCC as a result of these Terms and Conditions. The entitlement to acquire the benefits of the products and services offered herein are subject to the limits established by MOMENTS-OF-ECSTASY’s, and the non-fulfillment of the established conditions may lead to the termination of these terms and conditions and restrict your access to the products and services offered by MOMENTS-OF-ECSTASY’s.

Registration

Cactus Commodities Trading DMCC IS OFFICIALLY REGISTERED ON Dubai Economic Department under Dubai multi commodities centre DMCC.

Indemnification

You agree to hold Cactus Commodities Trading DMCC harmless from all claims due or demands, including fees, charges, damages, and expenses incurred, resulting from actions, errors, or omissions as a result of any breach of this Agreement, any misrepresentation, negligent act, or omission, unethical business conduct, or failure to comply with any laws or regulations.

Governing Law

All questions concerning the validity, operation, interpretation, and construction of the Terms and Conditions will be governed by and determined in accordance with the substantive laws of the United Arab Emirates.

Liability Disclaimer

Cactus Commodities Trading DMCC MAKES NO STATEMENTS ABOUT THE RIGHTNESS, DEPENDABILITY, EASE OF USE, RELEVANCE OR PRECISION OF THE CONTENT, INFORMATION, PRODUCTS, SERVICES, AND RELATED GRAPHICS CONTAINED ON Cactus Commodities Trading DMCC WEBSITE FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH CONTENT, INFORMATION, PRODUCTS, SERVICES, AND RELATED GRAPHICS ARE PROVIDED "AS IS" WITHOUT WARRANTY OR CONDITION OF ANY KIND. Cactus Commodities Trading DMCC HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THE CONTENT, INFORMATION, PRODUCTS, SERVICES, AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT

Severability

If any provision of this Terms and Conditions is held by a court of competent jurisdiction to be invalid, void, or unenforceable, then only the portion of that provision held invalid, void, or unenforceable shall be stricken, and the remaining provisions shall, nevertheless, continue in full force and effect without being invalidated in any way.

Waiver

No waiver of any of the provisions of this Terms and Conditions shall constitute a continuing waiver or a waiver of any other provision. No waiver shall be binding unless executed in writing by the party making such waiver.

It shall be the responsibility of each Party to provide written notification to the other of any changes in address throughout the Term hereof.

MEDICAL DISCLAIMER

You consent to being aware of your own health and physical condition and having knowledge that your acquisition and use of the Product may be injurious to your health, and you are voluntarily acquiring the products offered by Cactus Commodities Trading DMCC. Having such knowledge, you thereby release Cactus Commodities Trading DMCC from liability, and you accept full responsibility for your own health and well-being, and you acknowledge an understanding that no responsibility is assumed by MOMENTS-OF-ECSTASY’s.

This Terms and Conditions constitute the entire understanding of the Parties with respect to the subject matter hereof and is intended as the Parties' final expression and complete and exclusive statement of the terms thereof, superseding all prior or contemporaneous agreements, representations, promises, and understandings, whether written or oral. Neither Party is to be bound by any pre-printed terms appearing in the other Party's form documents, tariffs, purchase orders, quotations, acknowledgments, invoices, or other instruments.
